Software Development Agreement

Software DEVELOPMENT AGREEMENT
This Software Development Agreement (“Agreement”), dated as of ______________ (“Effective Date”), by and between X, a $Y3$
$Y4$ (the “Client”), and Patrick Edward Chirdon , a $X3$ $X4$ (the “Contractor”) is made and entered in in part on the existence of the
following facts:
WHEREAS, Client desires to engage Contractor in their capacity as a developer, and Contractor desires to be engaged by Client on the
following terms, covenants and conditions.
NOW THEREFORE, in consideration of the mutual covenants and promises of the parties, Client and Contractor covenant and agree as
follows:
1. ENGAGEMENT. The Client hereby engages the Contractor for and during the term hereof. The Contractor hereby accepts
engagement under the terms and conditions set forth in this Agreement.
2. DUTIES. The Contractor shall perform the development services for the Client:

Software Development. Contractor will develop and improve certain software for the Client.

Purpose. Client desires the creation of software that performs the following functions: $S2$
Title. The source code, object code, technological developments, and associated documents required to achieve
the Purpose of the Software Development will be collectively referred to as $S1$ (the “Software”.)
Final Product. After the development of $S1$, and subject to the approval of Client, the software, including its
object code, source code, technological developments, associated documentation, and associated intellectual
property rights, registered and unregistered, and any copies thereof, will be…
