Software Purchase Agreement

PURCHASE AND ASSIGNMENT OF SOFTWARE
AND RELATED TECHNOLOGY AGREEMENT
This PURCHASE AND ASSIGNMENT OF SOFTWARE AND RELATED TECHNOLOGY AGREEMENT (the “Agreement”) is entered into as of
______________ (the “Effective Date”) by and between X of X, X, Ohio.44060 (the “Purchaser”) and AI Drug Discovery LLC of 9496 Hoose
RD, Mentor, Ohio.44060 (“Seller”). Seller and Purchaser may be referred to collectively as “parties” or individually as “party.”
WHEREAS, Seller designed and developed software, and owns all of the intellectual property rights thereto, registered and unregistered;
WHEREAS, Purchaser desires to purchase the software, associated technology, and all intellectual property rights, title, interest and
ownership of, in and to that software; WHEREAS, the Purchaser desires to document its acquisition of all of Seller’s intellectual property
right, title, interest and ownership of, in and to that software;
WHEREAS, the Seller has agreed to convey all of his intellectual property rights, title, interest and ownership interest of, in and to the
Software to Purchaser;
WHEREAS, the parties desire evidence their agreement in writing;
NOW, THEREFORE, in consideration of the foregoing recitals, the rights and obligations set forth in this Agreement, and other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows:
